Terms and Conditions

By purchasing, accessing, or using any services provided by Cotual LLC (“Company,” “we,” “us,” or “our”), you (“Client,” “you”) agree to the following Terms and Conditions.
1. Scope of Services
Cotual LLC provides outcome-based consulting and guided implementation services related to U.S. business formation and payment infrastructure for non-U.S. founders.
Services may include, but are not limited to:
Strategic guidance on U.S. entity formation (LLC or C-Corp)
Guidance on obtaining a U.S. federal tax identification number (EIN)
Guidance on opening a U.S. business bank account
Guidance on Stripe payment processor setup and approval
Access to consulting sessions, digital resources, and internal materials
Important:
Cotual LLC does not directly form entities, open bank accounts, submit applications on your behalf, or act as your legal representative. All applications are completed by the Client with our guidance.
Cotual LLC does not provide legal, tax, or accounting advice. Any information shared is for consulting and educational purposes only.
2. Client Responsibilities
The Client agrees to:
Validity and honoring the signed Service Agreement.
Provide accurate, truthful, and complete information at all times
Follow instructions provided by Cotual LLC precisely
Ensure their business model, products, and services comply with:
Stripe policies
Bank policies
U.S. laws and regulations
Respond promptly to requests for information or documentation
Failure to meet these responsibilities may result in delays, rejection, or voiding of guarantees.
3. Fees and Payments
Consulting fees are charged as:
A one-time full payment, or
A one-time split payment (where explicitly offered)
Consulting fees cover guidance and support only.
They do not include:
Government filing fees
State fees
Registered agent fees
Bank fees
Payment processor fees
Third-party service costs of any kind
All third-party fees are paid directly by the Client and are the Client’s sole responsibility.
4. Payment Default
If any payment is missed or incomplete:
Cotual LLC may immediately suspend all services
Access to materials, sessions, and support may be revoked
No guarantees remain valid until payment is resolved
5. Guarantees & Refund Policy
5.1 Stripe & Bank Approval Guarantee
Where explicitly stated, Cotual LLC offers a conditional approval guarantee for:
Stripe payment processor approval
U.S. business bank account approval
This guarantee applies only if:
The Client follows all instructions provided
The Client provides accurate information
The Client’s business does not violate platform policies
No prohibited or restricted activities are involved
Certain countries, industries, or risk profiles may be excluded from guarantees and will be disclosed in advance.
5.2 Refund Eligibility
If Stripe approval is denied despite full compliance, the Client may request a refund of the consulting fee only, subject to verification.
No refunds are issued if rejection results from:
Inaccurate or misleading information
Policy-violating business activities
Failure to follow instructions
Changes in third-party policies beyond our control
Refunds do not include third-party or government fees.

6. No Income or Business Performance Guarantees
Cotual LLC does not guarantee:
Revenue
Profitability
Business success
Customer acquisition
Long-term account stability beyond approval
Outcomes depend on the Client’s execution, compliance, and market factors.
7. Testimonials & Results Disclaimer
Testimonials and reviews represent real client experiences but do not guarantee similar results. Individual outcomes vary based on multiple factors.
8. Affiliate Relationships
Cotual LLC may recommend third-party tools or services and may receive referral or affiliate compensation. This does not affect the price paid by the Client.
9. Limitation of Liability
To the maximum extent permitted by law, Cotual LLC is not liable for:
Third-party decisions, rejections, freezes, or policy changes
Actions taken by Stripe, banks, or government agencies
Business losses, revenue loss, or opportunity cost
Delays outside our direct control
All services are provided “as is” and “as available.”
10. Governing Law
These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of law principles.
11. Updates to These Terms
Cotual LLC may update these Terms at any time. Continued use of services constitutes acceptance of the revised Terms.
