Refund Policy

1. Overview of Services

Cotual LLC provides consulting, guidance, and procedural support for non-US founders seeking to establish a U.S.-compliant business and payment infrastructure. Services may include guidance related to:

  • U.S. LLC or corporate formation

  • EIN application process

  • U.S. business bank account setup

  • Stripe application preparation and approval support

Cotual LLC does not act as a legal representative, does not submit applications on behalf of clients, and does not control or influence decisions made by third-party institutions. All services are advisory and guidance-based.

2. Limited Refund Eligibility (Stripe Rejection Only)

A 100% refund of the consulting fee is available only under the following conditions:

All of the following must be true:

  1. The client’s business model, products, and services fully comply with Stripe’s and the selected bank’s terms and policies at the time of application; and

  2. The client follows all instructions, documentation requests, timelines, and compliance requirements provided by Cotual LLC without deviation; and

  3. Stripe formally rejects the application solely due to eligibility or compliance reasons, despite full and correct execution of the guided process.

If all conditions above are met, Cotual LLC will refund only the consulting fee paid to Cotual LLC.

3. Non-Refundable Situations

No refunds will be issued in any of the following situations:

  • The client provides false, misleading, inconsistent, or incomplete information

  • The client fails to follow instructions, timelines, or documentation requirements

  • The client becomes unresponsive for 14 consecutive days or more during the process

  • The client changes or pivots their business model after onboarding

  • The business operates in a restricted, prohibited, or high-risk category

  • Stripe or the bank rejects the application due to policy violations, risk flags, or misrepresentation

  • The client chooses to stop, pause, or abandon the process after work has begun

  • The client decides the service is “no longer needed” or “not a priority”

All government fees, state filing fees, bank fees, platform fees, and third-party service costs are non-refundable, as they are paid directly to external providers and are outside Cotual LLC’s control.

4. Scope and Limitations of Guarantee

Cotual LLC guarantees professional guidance, correct structuring, and procedural support, not outcomes controlled by third parties.

The conditional guarantee applies only to:

  • Stripe application approval

  • U.S. business bank account approval

The guarantee does not apply to:

  • Government processing timelines

  • EIN issuance delays

  • State or federal processing backlogs

  • Policy changes imposed by Stripe, banks, or regulators

  • Decisions made by third-party institutions

5. Chargebacks and Payment Disputes

Clients agree to contact Cotual LLC directly to attempt resolution before initiating any chargeback or payment dispute.

Any chargeback or dispute filed without prior written communication will be immediately:

  • Voids all guarantees

  • Terminates all ongoing support

  • Is considered a breach of this policy

Cotual LLC reserves the right to provide documentation to payment processors to contest unauthorized chargebacks.

6. Acceptance of Policy

By submitting payment, the client confirms that they have read, understood, and agreed to this Refund Policy, including its conditions, limitations, and exclusions.
