Terms and Conditions - US LLC, EIN, Bank & Stripe Video Guide

By purchasing or accessing the "US LLC, EIN, Bank & Stripe" video guide ("Product"), you ("Client," "you") agree to the following Terms and Conditions. This Product is offered by Cotual LLC ("Company," "we," "us," "our"). These Terms apply specifically to this Product and govern your purchase independently of any other Cotual service or agreement.

1. Nature of the Product

This Product is a self-serve digital video guide covering four stages: forming a US LLC, obtaining an EIN, opening a US bank account, and opening a Stripe account. It is educational and informational content only. It does not include:

- Consulting sessions or 1:1 support

- Entity formation, registered agent, or virtual address services

- EIN application submission on your behalf

- Bank or Stripe account applications submitted on your behalf

- Any form of ongoing service or engagement

Cotual LLC does not form your LLC, does not apply for your EIN, does not open a bank account, and does not open a Stripe account for you. You perform every step yourself using the guide as reference. Where entity formation or registered agent services are needed, you engage a third-party provider directly, and any fees for those services are paid by you to that provider, not to Cotual LLC.

2. No Advice, No Guarantee

Cotual LLC does not provide legal, tax, financial, or accounting advice. All content is general information based on the founder's own experience and is not a substitute for professional advice specific to your situation, including advice from a licensed attorney or tax professional.

We do not guarantee:

- That any state will approve your LLC filing

- That the IRS will issue an EIN, or any particular processing timeline for one

- That any bank will approve a bank account application

- That Stripe will approve a Stripe account application

Approval and processing decisions for each of these four stages are made solely by the relevant state agency, the IRS, the bank, or Stripe, based on their own policies, which can change at any time and vary by country and individual circumstances. Following the guide does not guarantee any particular outcome at any stage.

3. Delivery

Upon successful payment, an access link to the video guide will be sent to the email address you provide at checkout. You are responsible for:

- Entering a valid, active email address

- Checking spam or promotions folders

- Contacting us at musa@cotual.com if you do not receive access within 24 hours

Non-delivery caused by an incorrect email address provided by you is not grounds for a refund, but we will make reasonable efforts to resend access once the correct address is confirmed.

4. Payment and Pricing

The Product is offered as a one-time payment. This fee covers access to the video guide only.

It does not include and is not related to:

- State LLC filing fees

- Registered agent or virtual address fees

- IRS fees (where applicable)

- Bank fees

- Stripe or other payment processor fees

- Bookkeeping, tax filing, or any third-party provider costs

Any such costs are your sole responsibility and are paid directly to the relevant state agency, the IRS, or third-party provider.

5. All Sales Final

Because this is a digital product delivered instantly upon payment, all sales are final and non-refundable, including if:

- You decide not to use the guide

- Your LLC filing, EIN application, bank application, or Stripe application is rejected or delayed after using the guide

- You change your mind after purchase

This applies once access has been delivered to the email address provided. No exceptions are made for outcomes outside our control, including state, IRS, bank, or Stripe decisions.

6. License and Restrictions

Access to the video guide is licensed to you for personal, non-commercial use only. You may not:

- Share, resell, or redistribute the guide or your access link

- Reproduce, copy, or publish any part of the content

- Use the content to create a competing product or service

Cotual LLC reserves the right to revoke access without refund if these restrictions are violated.

7. Testimonials

Testimonials shown on the landing page reflect real experiences of past clients. They do not represent a typical or guaranteed result. Individual outcomes depend on your country, business type, documentation, chosen state of formation, and the policies of the state, IRS, bank, and Stripe at the time you apply.

8. Not Legal Representation

Cotual LLC is not a law firm, does not act as your registered agent, and does not act as your legal representative in any filing or application described in this guide. Nothing in this Product or these Terms creates an attorney-client relationship.

9. Limitation of Liability

To the maximum extent permitted by law, Cotual LLC is not liable for:

- Decisions made by any state agency, the IRS, a bank, Stripe, or any other third party

- Rejected, delayed, or revoked filings, applications, or accounts

- Any business, revenue, or opportunity loss

- Delays outside our direct control

The Product is provided "as is" and "as available," without warranties of any kind.

10. Governing Law

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of law principles.

11. Updates to These Terms

Cotual LLC may update these Terms at any time. The version in effect at the time of your purchase applies to that purchase. Continued access to the Product after an update constitutes acceptance of the revised Terms.
